1.   INTERPRETATION

1.1.    Definitions. In these Conditions, the following definitions apply:

Applicable Data Protection Laws: mean:

  • a)   to the extent the UK GDPR (as defined below) applies, the law of the United Kingdom or of a part of the United Kingdom which relates to the protection of personal data.
  • b)   to the extent the EU GDPR (as defined below) applies, the law of the law of the European Union or any member state of the European Union to which the Supplier is subject, which relates to the protection of personal data.

Business Day: a day (other than a Saturday, Sunday or public holiday) when banks in London are open for business.

Conditions: the terms and conditions set out in this document as amended from time to time in accordance with condition 11.6.

Contract: the contract between TXO Systems Ltd and the Customer for the sale and purchase of the Goods in accordance with these Conditions.

Customer: the person or firm who purchases the Goods from TXO Systems Ltd.

Data: any personal, sensitive, confidential or other data stored within any part of the Goods.

EU GDPR: means the General Data Protection Regulation ((EU) 2016/679), as it has effect in EU law.

Force Majeure Event: has the meaning given in condition 10.

Goods: the goods (or any part of them save for any Software and/or Data) set out in the Order.

Order: the Customer’s order for the Goods, as set out in the Customer’s purchase order form.

Software: any software installed onto the Goods.

TXO Systems Ltd: TXO Systems Ltd (registered in England and Wales with company number 05479601) and whose registered office is at Unit 3, Newhouse Farm Industrial Estate, Chepstow, NP16 6UP, United Kingdom.

UK GDPR: has the meaning given to it in section 3(10) (as supplemented by section 205(4)) of the Data Protection Act 2018.

1.2. Construction. In these Conditions, the following rules apply:

  • a)   A person includes a natural person, corporate or unincorporated body (whether or not having separate legal personality).
  • b)   A reference to a party includes its personal representatives, successors or permitted assigns.
  • c)   A reference to a statute or statutory provision is a reference to such statute or provision as amended or re-enacted. A reference to a statute or statutory provision includes any subordinate legislation made under that statute or statutory provision, as amended or re-enacted.
  • d)   Any phrase introduced by the terms including, include, in particular or any similar expression shall be construed as illustrative and shall not limit the sense of the words preceding those terms.
  • e)   A reference to writing or written includes faxes and e-mails.

2.   BASIS OF CONTRACT


2.1.   These Conditions apply to the Contract to the exclusion of any other terms that the Customer seeks to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.

2.2.   The Order constitutes an offer by the Customer to purchase the Goods in accordance with these Conditions. The Order shall only be deemed to be accepted when TXO Systems Ltd issues a written acceptance of the Order, at which point the Contract shall come into existence.

2.3.   It is at TXO Systems Ltd’s sole discretion whether to accept an Order. TXO Systems Ltd may contact the Customer to say that it is at TXO Systems Ltd’s sole discretion whether to accept an Order. TXO Systems Ltd does not accept the Customer’s Order. TXO Systems Ltd rejection of an Order is typically for the following reasons:

  • a)   the Goods are unavailable;
  • b)   TXO Systems Ltd cannot authorise the Customer’s payment;
  • c)   the Customer’s are not allowed to buy the Goods from TXO Systems Ltd
  • d)   TXO Systems Ltd is not allowed to sell the Goods to the Customer’s (please see condition 10);
  • e)   the Customer’s ordered too many Goods; or
  • f)    there has been a mistake on the pricing or description of the Goods.

2.4.  The Contract constitutes the entire agreement between the parties. The Customer acknowledges that it has not relied on any statement, promise or representation made or given by or on behalf of TXO Systems Ltd which is not set out in the Contract. Any samples, drawings, descriptive matter, or advertising issued by TXO Systems Ltd and any descriptions or illustrations set out on TXO Systems Ltd’s website or contained in any of TXO Systems Ltd’s other marketing materials are issued or published for the sole purpose of giving an approximate idea of the Goods described in them. They shall not form part of the Contract or any other contract between TXO Systems Ltd and the Customer for the sale of the Goods.

2.5. A quotation for the Goods given by TXO Systems Ltd shall not constitute an offer and shall be subject to any conditions as to availability or otherwise as specified by TXO Systems Ltd.

2.6. TXO Systems Ltd complies with UK Export Law. Prior to completing a quotation or taking an order TXO UK Ltd will check the buyer’s details and the product details against UK export controls and sanctions.

Quotations and goods will only be supplied if TXO Systems Ltd is permitted to do so by UK Export Controls and sanctions.

It is accepted that UK Export Controls and sanctions can change at any time which may result in a quotation being cancelled or an order being cancelled at any stage in the delivery process prior to despatch.

2.7. No Order which has been accepted by TXO Systems Ltd may be cancelled by the Customer except with the agreement in writing of TXO Systems Ltd and on terms that the Customer shall indemnify TXO Systems Ltd in full against all loss (including loss of profit), charges and other expenses incurred by TXO Systems Ltd as a result of cancellation.

3.   DELIVERY


3.1.   Delivery of the Goods shall be made to the location set out in the Order or such other location as the parties may agree (“Delivery Location”) at any time after TXO Systems Ltd notifies the Customer that the Goods are ready.

3.2.   Delivery of the Goods may be arranged:

  • a)   by the Customer arranging for collection and transportation using its own FedEx account or other method of transport; or
  • b)   by TXO Systems Ltd arranging for transportation using its own FedEx account or other method of transport provided that the Customer shall inform TXO Systems Ltd in writing of its preferred delivery arrangements and the Customer shall be responsible  for obtaining at its own cost, such import licences and other consents in relation to the  Goods as are required from time to time, and if required by TXO Systems Ltd, the Customer shall make those licences and consents available prior to the relevant delivery of the Goods to the Delivery Location.

3.3.  Any dates quoted for delivery are approximate only, and the time of delivery is not of the essence. TXO Systems Ltd shall not be liable for any delay in delivery of the Goods that is caused by a Force Majeure event or the Customer’s failure to provide TXO Systems Ltd with adequate delivery instructions or any other instructions that are relevant to the supply of the Goods.

3.4. TXO Systems Ltd shall have no liability for any failure to deliver the Goods to the extent that such failure is caused by a Force Majeure Event or the Customer’s failure to provide TXO Systems Ltd with adequate delivery instructions or any other instructions that are relevant to the supply of the Goods.

3.5. If the Customer fails to take or accept delivery of the Goods within 7 Business Days of TXO Systems Ltd notifying the Customer that the Goods are ready, then, except where such failure or delay is caused by a Force Majeure Event or TXO Systems Ltd’s failure to comply with its obligations under the Contract:

  • a)   delivery of the Goods shall be deemed to have been completed at 9.00 am on the third Business Day following the day on which TXO Systems Ltd notified the Customer that the Goods were ready; and
  • b)   TXO Systems Ltd shall store the Goods until delivery takes place and charge the Customer for all related costs and expenses (including insurance).

3.6. If 10 Business Days after TXO Systems Ltd notified the Customer that the Goods were ready for delivery the Customer has not taken or accepted delivery of them, TXO Systems Ltd may resell or otherwise dispose of part or all of the Goods and, after deducting reasonable storage and selling costs, account to the Customer for any excess over the price of the Goods or charge the Customer for any shortfall below the price of the Goods.

3.7. TXO Systems Ltd may deliver the Goods by instalments, which shall be invoiced and paid for separately. Each instalment shall constitute a separate Contract. Any delay in delivery or defect in an instalment shall not entitle the Customer to cancel any other instalment.

4.    QUALITY

4.1.   Unless otherwise set out in writing by TXO Systems Ltd , TXO Systems Ltd warrants that on delivery, and for a period of 90 calendar days (or as individually agreed between TXO Systems Ltd and the Customer) from the date of invoice (“Warranty Period”), the Goods shall:

  • a)   subject to condition 4.2 below, conform in all material respects with TXO Systems Ltd’s written description of the Goods; and
  • b)   be functional and operational in all material respects.

4.2. TXO Systems Ltd shall use reasonable endeavours to ensure that any Goods which purport to have been made by a particular manufacturer are genuine but it shall have no liability to the Customer in the event that any of the Goods and/or replacement items are not the genuine merchandise of the purported manufacturer.

4.3. Subject to condition  4.4, if:

  • a)   the Customer gives notice in writing to TXO Systems Ltd during the Warranty Period that some or all of the Goods do not comply with the warranty set out in condition 4.1; and
  • b)   TXO Systems Ltd is given a reasonable opportunity of examining such Goods; and
  • c)   the Customer (if asked to do so by TXO Systems Ltd) returns such Goods to TXO Systems Ltd’s place of business at TXO Systems Ltd’s cost, TXO Systems Ltd shall, at its option, replace the defective Goods, or refund the price of the defective Goods in full.
  • d)   Where TXO Systems Ltd chooses to replace the defective Goods and the Customer is required to return the defective goods then TXO Systems Ltd will choose whether to offer the option to provide a replacement in advance of the defective Goods being returned.  If a replacement is provided in advance the Customer must return the Goods within 10 day of the Goods being communicated as being defective.  In addition the Customer must also send a test report within 10 days demonstrating the Goods are defective.  If the Goods are not returned within 10 days or the test report not provided TXO Systems Ltd will invoice in full for the replacement Goods and full payment must be made by the Customer (in addition to the payment for the Defective goods, if not already paid for).

4.4. TXO Systems Ltd shall not be liable for any failure of the Goods’ to comply with the warranty set out in condition 4.1 if:

  • a)   the Customer makes any further use of such Goods after giving notice in accordance with condition 4.3; or
  • b)   prior to the sale of the Goods TXO Systems Ltd has explicitly stated that the Goods are sold with no warranty/as ”Sold as Seen”/as already defective; or
  • c)   the defect arises because the Customer failed to follow TXO Systems Ltd’s oral or written instructions as to the storage, commissioning, installation, use and maintenance of the Goods or (if there are none) good trade practice; or
  • d)   the Customer alters or repairs such Goods without the written consent of TXO Systems Ltd; or
  • e)   the defect arises as a result of fair wear and tear, wilful damage, negligence, or abnormal storage or working conditions.

4.5. Except as provided in condition 4.3, TXO Systems Ltd shall have no liability to the Customer in respect of the Goods’ failure to comply with the warranty set out in condition 4.1.

4.6. Except as set out in these Conditions, TXO Systems Ltd gives no warranty to the Customer in respect of the design, functionality, suitability, condition otherwise of any of the Goods and all other warranties, conditions and terms implied by statute or common law are, to the fullest extent permitted by law, excluded from the Contract.

4.7. These Conditions shall apply to any replacement Goods supplied by TXO Systems Ltd.

4.8. The Customer acknowledges that TXO Systems Ltd is a reseller of pre-owned telecommunications equipment and as such, no two items supplied by TXO Systems Ltd are identical. The Customer therefore further acknowledges and agrees that, where defective Goods are replaced by TXO Systems Ltd pursuant to condition 4.3 above, the replacement items will not be identical to the original Goods supplied to the Customer. Notwithstanding the foregoing provisions of this condition 4.8, TXO Systems Ltd shall use reasonable endeavours to supply replacement items which are materially similar to the original Goods supplied pursuant to the Order but shall be under no obligation to do so in which case a refund will be given in respect of any breach of warranty pursuant to this condition 4.

5.   TITLE AND RISK


5.1.   Risk of damage to or loss of the Goods shall pass to the Customer:

  • a)   where delivery is arranged by the Customer in accordance with condition 3.2a), upon collection of the Goods from TXO Systems Ltd’s premises or delivery is undertaken by TXO Systems Ltd using the Customer’s chosen shipper on their shipping account;
  • b)   where delivery is arranged by TXO Systems Ltd in accordance with condition 3.2b), at the time of arrival at the Delivery Location; or
  • c)   if the Buyer fails to take delivery of the Goods, the date of deemed delivery in accordance with condition 3.5a)

5.2. Title to the Goods shall not pass to the Customer until TXO Systems Ltd has received payment in full (in cash or cleared funds) for the Goods and all outstanding invoices have been paid by the Customer. For the avoidance of doubt, TXO Systems Ltd does not purport to transfer title or any other rights to or in the Software or any of the Data to the Customer.

5.3. Until title to the Goods has passed to the Customer, the Customer shall:

  • a)   hold the Goods on a fiduciary basis as TXO Systems Ltd’s bailee;
  • b)   store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as TXO Systems Ltd’s property;
  • c)   not remove, deface or obscure any identifying mark or packaging on or relating to the Goods;
  • d)   maintain the Goods in satisfactory condition and keep them insured against all risks for their full price from the date of delivery;
  • e)   notify TXO Systems Ltd immediately if it becomes subject to any of the events listed in condition 8.2; and
  • f)    give TXO Systems Ltd such information relating to the Goods as TXO Systems Ltd may require from time to time.

5.4. If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in condition 8.2, or TXO Systems Ltd reasonably believes that any such event is about to happen and notifies the Customer accordingly, then, provided that the Goods have not been resold, or irrevocably incorporated into another product, and without limiting any other right or remedy TXO Systems Ltd may have, TXO Systems Ltd may at any time require the Customer to deliver up the Goods and, if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

6.   SOFTWARE AND DATA


6.1.   The Customer acknowledges that the Goods are pre-owned and as such it is likely that certain items of Software and/or Data may be embedded within the Goods.

6.2.   TXO Systems Ltd gives no warranties, licences, consents or other authorisations in relation to any Software and the Customer warrants to TXO Systems Ltd that it shall independently obtain all necessary licences before using any Software and it shall promptly delete any Data which it is not authorised to use or process.

6.3.   The Customer shall keep TXO Systems Ltd indemnified in full against all costs, expenses, damages and losses (whether direct or indirect), including any interest, penalties, and legal and other professional fees and expenses awarded against or incurred or paid by TXO Systems Ltd as a result of or in connection with:

  • a)   any claim made against TXO Systems Ltd for actual or alleged infringement of a third party’s intellectual property rights arising out of, or in connection with any use of the Software following delivery of the Goods to the Customer;
  • b)   any claim made against TXO Systems Ltd for actual or alleged breach of the provisions of the Applicable Data Protection Laws or other confidentiality obligation by the use, disclosure or processing of any Data following delivery of the Goods to the Customer.

7.   PRICE AND PAYMENT


7.1.   The price of the Goods shall be the price set out in the Order, or, if no price is quoted, the price set out in TXO Systems Ltd’s published price list in force as at the date of delivery.

7.2.   TXO Systems Ltd may, by giving notice to the Customer at any time up to 2 Business Days before delivery, increase the price of the Goods to reflect any increase in the cost of the Goods that is due to:

  • a)   any factor beyond TXO Systems Ltd’s control (including foreign exchange fluctuations and increases in taxes and duties);
  • b)   any request by the Customer to change the delivery date(s), quantities or types of Goods ordered; or
  • c)   any delay caused by any instructions of the Customer or failure of the Customer to give TXO Systems Ltd adequate or accurate information or instructions.

7.3. The price of the Goods is exclusive of the costs and charges of packaging, insurance and transport of the Goods, which shall be paid by the Customer when it pays for the Goods.

7.4. The price of the Goods is exclusive of amounts in respect of value added tax (“VAT”). The Customer shall, on receipt of a valid VAT invoice from TXO Systems Ltd, pay to TXO Systems Ltd such additional amounts in respect of VAT as are chargeable on the supply of the Goods.

7.5. TXO Systems Ltd may invoice the Customer for the Goods on or at any time after the completion of delivery. Where credit terms have not been agreed, proforma invoices will be raised at point of order.

7.6. The Customer shall unless otherwise agreed in writing,  within 30 days of receipt of a valid invoice from TXO Systems Ltd pay the invoice in full and in cleared funds in accordance with the terms of TXO Systems Ltd’s invoice. Payment shall be made to the bank account nominated in writing by TXO Systems Ltd. Time of payment is of the essence.

7.7. If the Customer fails to make any payment due to TXO Systems Ltd under the Contract by the due date for payment (“due date”), then without limiting TXO Systems Ltd’s remedies under these conditions, the Customer shall pay interest on the overdue amount at the rate of  4% per annum above the Bank of England’s base rate from time to time, but at 4% a year for any period when that base rate is below 0%.  Such interest shall accrue on a daily basis from the due date until the date of actual payment of the overdue amount, whether before or after judgment. The Customer shall pay the interest together with the overdue amount. Debt recovery costs may be implemented in line with prevailing legislation.

7.8. The Customer shall pay all amounts due under the Contract in full without any deduction or withholding except as required by law and the Customer shall not be entitled to assert any credit, set-off or counterclaim against TXO Systems Ltd in order to justify withholding payment of any such amount in whole or in part. TXO Systems Ltd may at any time, without limiting any other rights or remedies it may have, set off any amount owing to it by the Customer against any amount payable by TXO Systems Ltd to the Customer.

8.   CUSTOMER’S INSOLVENCY OR INCAPACITY


8.1.   If the Customer becomes subject to any of the events listed in condition 8.2, or TXO Systems Ltd reasonably believes that the Customer is about to become subject to any of them and notifies the Customer accordingly, then, without limiting any other right or remedy available to TXO Systems Ltd, TXO Systems Ltd may cancel or suspend all further deliveries under the Contract or under any other contract between the Customer and TXO Systems Ltd without incurring any liability to the Customer, and all outstanding sums in respect of Goods delivered to the Customer shall become immediately due.

8.2.   For the purposes of condition 8.1, the relevant events are:

  • a)   the Customer suspends, or threatens to suspend, payment of its debts or is unable to pay its debts as they fall due or admits inability to pay its debts or (being a company) is deemed unable to pay its debts within the meaning of section 123 of the Insolvency Act 1986, or (being an individual) is deemed either unable to pay its debts or as having no reasonable prospect of so doing, in either case, within the meaning of section 268 of the Insolvency Act 1986, or (being a partnership) has any partner to whom any of the foregoing apply; or
  • b)   the Customer commences negotiations with all or any class of its creditors with a view to rescheduling any of its debts, or makes a proposal for or enters into any compromise or arrangement with its creditors other than (where the Customer is a company) these events take place for the sole purpose of a scheme for a solvent amalgamation of the Customer with one or more other companies or the solvent reconstruction of the Customer; or
  • c)   being an individual the Customer is the subject of a bankruptcy petition or order; or
  • d)   a creditor or encumbrancer of the Customer attaches or takes possession of, or a distress, execution, sequestration or other such process is levied or enforced on or sued against, the whole or any part of its assets and such attachment or process is not discharged within 14 days; or
  • e)   (being a company) an application is made to court, or an order is made, for the appointment of an administrator or if a notice of intention to appoint an administrator is given or if an administrator is appointed over the Customer; or
  • f)    (being a company) a floating charge holder over the assets of the Customer has become entitled to appoint or has appointed an administrative receiver; or
  • g)   a person becomes entitled to appoint a receiver over the assets of the Customer or a receiver is appointed over the assets of the Customer; or
  • h)   any event occurs, or proceeding is taken, with respect to the Customer in any jurisdiction to which it is subject that has an effect equivalent or similar to any of the events mentioned in condition 8.2a) to condition  8.2g) (inclusive); or
  • i)    the Customer suspends, threatens to suspends, ceases or threatens to cease to carry on all or substantially the whole of its business; or
  • j)    the financial position of the Customer deteriorates to such an extent that in the opinion of TXO Systems Ltd the capability of the Customer adequately to fulfil its obligations under the Contract has been placed in jeopardy.
  • k)    (being an individual) the Customer dies or, by reason of illness or incapacity (whether mental or physical), is incapable of managing his or her own affairs or becomes a patient under any mental health legislation.

9.   DISCLAIMER AND LIMITATION OF LIABILITY


9.1.  Nothing in these Conditions shall limit or exclude TXO Systems Ltd’s liability for:

  • a)   death or personal injury caused by its negligence, or the negligence of its employees, agents or subcontractors (as applicable);
  • b)   fraud or fraudulent misrepresentation; or
  • c)   breach of the terms implied by section 12 of the Sale of Goods Act 1979; or
  • d)   defective products under the Consumer Protection Act 1987; or
  • e)   any matter in respect of which it would be unlawful for TXO Systems Ltd to exclude or restrict liability.

9.2. Subject to condition 9.1:

  • a)   TXO Systems Ltd shall not be liable to the Customer, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any indirect or direct loss of profit or for any indirect or consequential loss arising under or in connection with the Contract; and
  • b)   TXO Systems Ltd’s total liability to the Customer in respect of all other losses arising under or in connection with the Contract, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed 100% of the price of the Goods.

9.3. The Customer acknowledges and agrees that the exclusions and limitations set out in these Conditions are reasonable given that the Goods are used / pre-owned and that this is reflected in the price of the Goods.

9.4. TXO Systems Ltd website lists products that are manufactured and designed by third parties (“Third-Party Products”).  The corresponding trademarks including any logos and icons in respect of those Third-Party Products (“Third-Party Trademark”) remain the property of the relevant third party. TXO Systems Limited’s use of Third-Party Trademarks in connection with the Third-Party Products does not indicate any sponsorship, relationship or endorsement between TXO Systems Ltd and the owners of the Third-Party Trademarks and does not signify or imply that TXO Systems Ltd is authorised by the relevant owner of the Third-Party Trademark to display or offer the relevant Third-Party Product for sale in the UK, European Economic Area or any other jurisdiction.

9.5. TXO Systems Ltd gives no warranty and makes no representation that any Third-Party Products displayed on its website or sold by TXO Systems Ltd have been placed on sale in the UK, or the EEC or other jurisdictions under the Third-Party Trademarks by or with the prior consent of the relevant Third- Party Trademark owner. For the avoidance of doubt, TXO Systems Ltd shall not be liable for any losses including loss of profit, loss of sales, loss of revenue, loss of business, business interruption, or loss of business opportunity, loss of goodwill or reputation or for any indirect or consequential loss or damage that the Customer may incur as a result of or in connection with its purchase and/or any subsequent use of or dealing with any Third-Party Product that has not been not been sold in the UK, or the EEC or other jurisdiction by or with the prior consent of the Third-party Trademark owner.

9.6. You acknowledge that information or any other content on the website provided by us is provided for general information purposes only. The website does not, and it is not intended to constitute technical, financial, or legal advice or any other type of advice and should not be relied upon for any purposes.

9.7. The information on the website is provided in good faith and TXO Systems Ltd use reasonable efforts to ensure that it is accurate. However, TXO Systems Ltd make no representations, warranties or guarantees, whether express or implied, that the content on our website is accurate, complete or up to date.

9.8. TXO Systems Ltd do not guarantee that its website will be secure or free from bugs or viruses. The Customer is responsible for configuring its own information technology, computer programmes and platform to access the website.

10.  FORCE MAJEURE

10.1.   For the purpose of these terms and conditions “Force Majeure” means any event(s) or circumstance(s) beyond the reasonable control of either party which hinders, prevents, or impedes the due performance of the obligations of such party and which by the exercise of all reasonable diligence such party is unable to prevent including, strikes, lock-outs or other industrial action, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic, pandemic (for the avoidance of doubt, the parties agree that epidemic or pandemic includes Covid) or other natural disaster, impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport, impossibility of the use of public or private telecommunications networks or the acts, decrees, legislation, regulations or restrictions of any government, provided that the mere shortage of labour materials equipment or supplies shall not constitute Force Majeure.

10.2.   If either party is hindered, prevented or impeded from or in performing its obligations under the Contract by reason of Force Majeure it shall promptly give notice to the other party stating the circumstances constituting Force Majeure and the extent thereof. The obligations of the parties shall thereupon be suspended for so long as the circumstances of Force Majeure may continue and neither party shall be liable to the other for breach or failure to perform its obligations under the Contract if it is unable to do so under the circumstances of Force Majeure. A party affected by Force Majeure shall use every reasonable effort to minimise the effects of Force Majeure and shall promptly resume performance of its obligations as soon as is reasonably possible after removal of the circumstances of Force Majeure. In the event that the cause continues for more than 6 months either party may terminate this agreement on 30 days’ notice.

11.  GENERAL

11.1.   Assignment and subcontracting.

  • a)   TXO Systems Ltd may at any time assign, transfer, charge, subcontract or deal in any other manner with all or any of its rights or obligations under the Contract.
  • b)   The Customer may not assign, transfer, charge, subcontract or deal in any other manner with all or any of its rights or obligations under the Contract without the prior written consent of TXO Systems Ltd.

11.2.   Notices.

  • a)   Any notice or other communication given to a party under or in connection with the Contract shall be in writing, addressed to that party at its registered office (if it is a company) or its principal place of business (in any other case) or such other address as that party may have specified to the other party in writing in accordance with this condition 11.2a), and shall be delivered personally, sent by pre-paid first-class post, recorded delivery, commercial courier, fax or e-mail.
  • b)   A notice or other communication shall be deemed to have been received: if delivered personally, when left at the address referred to in condition 11.2a);if sent by pre-paid first- class post or recorded delivery, at 9.00 am on the second Business Day after posting; if delivered by commercial courier, on the date and at the time that the courier’s delivery receipt is signed; or, if sent by fax or e-mail, one Business Day after TXO Systems Ltd.
  • c)   The provisions of this condition 11.2 shall not apply to the service of any proceedings or other documents in any legal action.

11.3.   Severance.

  • a)   If any court or competent authority finds that any provision of the Contract (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of the Contract shall not be affected.
  • b)   If any invalid, unenforceable or illegal provision of the Contract would be valid, enforceable and legal if some part of it were deleted, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable.

11.4.   Waiver. A waiver of any right or remedy under the Contract is only effective if given in writing and shall not be deemed a waiver of any subsequent breach or default. No failure or delay by a party to exercise any right or remedy provided under the Contract or by law shall constitute a waiver of that or any other right or remedy, nor shall it preclude or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall preclude or restrict the further exercise of that or any other right or remedy.

11.5.   Third party rights. A person who is not a party to the Contract shall not have any rights under or in connection with it.

11.6.   Variation. Any variation to the Contract, including the introduction of any additional terms and conditions, shall only be binding when agreed in writing and signed by TXO Systems Ltd.

11.7.   Governing law and jurisdiction. The Contract, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, English law, and the parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.


1. GENERALITES

Les présentes Conditions Générales de Vente (ci-après “les Conditions”) ont vocation à régir toute vente de Produits effectuée par la société TXO Systems société par actions simplifiée, ayant siège social 2 rue Marie Sklodowska Curie 95150 Taverny, immatriculée au RCS de Pontoise sous le n° 853 528 495 (« TXO Systems SAS »). En conséquence, toute commande passée à TXO Systems SAS implique nécessairement à titre de condition essentielle et déterminante, l’acceptation sans réserve par le Client des Conditions en vigueur au jour de la commande concernée. Le Client renonce dès lors expressément à l’ensemble de ses conditions d’achat ou tout autre document commercial, sauf acceptation préalable et expresse par TXO Systems SAS de ceux-ci. Le Client déclare reconnaître que l’acceptation des Conditions entraînera application de celles-ci à la commande à laquelle elles se rapportent ainsi qu’à toute commande ultérieure, excepté le cas où de nouvelles conditions seraient portées à sa connaissance.

Les Conditions ont pour objet de définir les conditions dans fournit ses Produits aux clients professionnels (« le Client ») au titre du Contrat entre TXO Systems SAS et le Client pour la vente des Produits (le « Contrat »).

Les « Produits » s’entendent par les produits (ou toute partie de ceux-ci, à l’exception des logiciels et des données) figurant sur le bon de commande.

2. CONTRAT DE VENTE

Les Conditions s’appliquent au Contrat, à l’exclusion de toutes clauses que le Client entend voir opposer ou inclure, y compris à titre d’usages ou de relations d’affaires.

TXO Systems SAS n’est tenue par la commande du Client que sous réserve de son acceptation. Le contrat de vente, même en cas de devis ou d’offre préalables, n’est parfait que sous réserve d’acceptation expresse par TXO Systems SAS de la commande du Client.

Le Contrat constitue, avec les présentes Conditions, l’intégralité de l’accord entre TXO Systems SAS à l’exclusion de toute promesse, pourparlers ou accords antérieurs. Tous les échantillons, dessins, éléments descriptifs ou publicités émis par TXO Systems SAS et toutes descriptions ou illustrations figurant sur le site web ou autres supports de marketing de TXO Systems SAS n’ont aucune valeur contractuelle et ne font pas partie du Contrat ou tout autre accord entre TXO Systems SAS et le Client pour la vente des Produits.

Le Client s’interdit de modifier ou d’annuler sa commande en tout ou en partie sans l’accord préalable et écrit de TXO Systems SAS et sous condition de l’indemnisation par le Client de l’ensemble des préjudices même indirects résultant de l’annulation.

3. LIVRAISONS

La livraison est effectuée au lieu spécifié sur la commande ou en tout autre lieu convenu entre les parties à partir de l’avis de mise à disposition des Produits par TXO Systems SAS.

La livraison est effectuée par la remise des Produits à un expéditeur ou transporteur désigné par le Client ou, à défaut de cette désignation, choisi par TXO Systems SAS.

Le Client doit s’assurer du respect de toutes dispositions législatives ou règlementaires relatives à l’importation ou à l’exportation des Produits. Le Client prend en charge l’ensemble des frais d’expédition y compris les droits et taxes de douane.

Les délais de livraison sont, en toute hypothèse, donnés à titre indicatif, impliquant que leur dépassement ne saurait donner lieu à aucune retenue ou indemnité au profit du Client.

TXO Systems SAS est libérée, de plein droit, de tout engagement relatif aux délais de livraison en présence d’un cas de force majeure.

Dans l’hypothèse où le Client ne prend pas livraison des Produits dans un délai de trois jours ouvrables de l’avis de mise à disposition par TXO Systems SAS, sauf cas de force majeure ou faute de la part de TXO Systems SAS, la livraison sera réputée effectuée à 9H00 du troisième jour ouvrable suivant la notification. Les Produits seront emmagasinés et manutentionnés par TXO Systems SAS, s’il y a lieu, aux frais et risques du Client, y compris d’assurance.

TXO Systems SAS pourra notifier par Lettre recommandée avec avis de réception au Client la résolution fautive des présentes, huit (8) jours après la réception d’une mise en demeure de s’exécuter restée infructueuse, et ce en application des dispositions de l’article 1224 du Code civil. TXO Systems SAS pourra demander au Client les frais de manutention et d’assurance sans préjudice de toute demande en justice ayant objet l’octroi de dommages et intérêts.

4. GARANTIES

TXO Systems SAS garantit que lors de la livraison et pendant une période de 90 jours calendaires suivant la date de la facture (ou selon la période convenue à titre de condition particulière entre TXO Systems SAS et le Client) (« période de garantie ») les Produits sont en tous points essentiels:

  • conformes au descriptif écrit établi par TXO Systems SAS
  • en état de fonctionnement et d’utilisation.

b) être fonctionnels et opérationnels à tous égards importants.

TXO Systems SAS fera ses meilleurs efforts pour s’assurer qu’un Produit prétendument fabriqué par un fabricant donné est d’origine et authentique, mais n’encourra aucune responsabilité à l’égard du Client si le Produit ou son remplacement ne sont pas d’origine ou authentiques.

Le Client doit aviser TXO Systems SAS avant la fin de la période de garantie que de la non-conformité qu’il impute au Produit et donner à TXO Systems SAS toute facilité pour procéder à la constatation de ces défauts.

TXO Systems SAS pourra, à son choix, soit remplacer les Produits défectueux, soit procéder au remboursent intégral de leur prix.

La responsabilité de TXO Systems SAS ne sera pas engagée dans les hypothèses où:

  • le Client continue à utiliser le Produit après l’avis de non-conformité; ou
  • avant la conclusion de la vente, TXO Systems SAS a expressément déclaré que les Produits sont vendus sans aucune garantie, « en l’état » ou déjà défectueux ; ou
  • le défaut est survenu parce que le Client ne s’est pas conformé aux instructions écrites de TXO Systems SAS relative au stockage, à la réception, à l’installation, à l’utilisation ou à la maintenance des Produits ou aux règles de l’art ; ou
  • le Client modifie ou répare les Produits sans l’autorisation écrite de TXO Systems SAS
  • le défaut survient du fait de l’usure normale du matériel, de détériorations provenant d’actes intentionnels ou de négligences, de stockage et d’utilisation dans des conditions anormales.

Les Conditions s’appliquent à des Produits de remplacement fournis par TXO Systems SAS.

Le Client reconnaît que TXO Systems SAS est un revendeur d’équipements de télécommunications d’occasion de telle sorte qu’aucun matériel fourni par elle est identique à un autre. Le Client reconnaît et accepte que lorsqu’un produit défectueux est remplacé, le produit de remplacement ne sera pas identique au produit initialement livré au Client. Toutefois, TXO Systems fera ses meilleurs efforts afin de fournir du matériel qui est essentiellement similaire au Produit fourni initialement sur la base de la commande, sans y être tenue ; s’il est impossible de fournir du matériel qui est essentiellement similaire, le Client recevra un remboursement du prix.

5. TRANFERT DES RISQUES

Les risques et la responsabilité des biens vendus sont transférés au Client:

  • soit dès la délivrance à un expéditeur ou transporteur désigné par le Client,
  • soit, en cas de transport organisé par TXO Systems lors de la livraison au lieu convenu
  • soit, en cas de refus d’acceptation de livraison, à la date réputée de livraison stipulée à l’article 2.

6. RESERVE DE PROPRIETE

TXO Systems SAS conserve la propriété des biens vendus jusqu’au paiement effectif de l’intégralité du prix en principal et accessoires et jusqu’à parfaite exécution par le Client de toutes ses obligations à l’égard de TXO Systems SAS, y compris en cas de toute solde débiteur restant dû par le Client.

Le Client supportera l’ensemble des risques afférents aux dommages que les Produits concernés pourraient subir ou occasionner pour quelle que cause que ce soit.

Le Client s’engage à apporter tous ses soins à la bonne conservation et à la sécurité des Produits dont il est gardien. Les Produits devront, à ce titre, être individualisés et portés clairement mention du droit de propriété de TXO Systems SAS. Le Client s’engage à informer, sans délai, TXO Systems SAS de toute démarche de tiers susceptible de remettre en cause ce droit et l’assister dans la sauvegarde de celui-ci notamment par la communication de tout document ou information utile à cette fin. Pour les besoins de la présente clause, le Client accepte de laisser accès, à tout moment, à TXO Systems SAS ou tout tiers mandaté par celle-ci, à tout local au sein duquel les Produits sont entreposés.

Le Client assume néanmoins à compter de la livraison, les risques de perte ou de détérioration de ces Produits ainsi que la responsabilité des dommages qu’ils pourraient occasionner. Le Client doit par conséquent souscrire une assurance adéquate.

7. LOGICIELS ET DONNEES

Le Client reconnaît que les Produits sont d’occasion de telle sorte qu’il est probable que certains logiciels ou données sont incorporés dans les Produits.

TXO Systems SAS n’octroie aucun(e) garantie, licence, agrément ou autorisation concernant des logiciels.

Le Clients s’engage à obtenir de manière indépendante toutes licences nécessaires avant d’utiliser les logiciels et s’engage à supprimer sans délai toute donnée auquel il n’est pas autorisé à accéder.

Le Client garantira et indemnisera TXO Systems SAS pour tous préjudices, frais, dommages et pertes, directs ou indirects, y compris des intérêts, pénalités et frais et débours de procédure résultant de la condamnation de TXO Systems SAS au titre de:

  • toute demande à l’encontre de TXO Systems SAS pour violation avérée ou prétendue des droits de propriété intellectuelle d’un tiers résultant de ou se rapportant à toute utilisation du logiciel à la suite de la livraison des Produits au Client;
  • toute demande à l’encontre de TXO Systems SAS pour violation avérée ou prétendue du Règlement général sur la protection des données (UE) 2016/267 du 27 avril 2016, de la loi n° 78-17 du 6 janvier 1978 relative à l’informatique, aux fichiers et aux libertés ou de toute autre obligation de confidentialité du fait de l’utilisation, de la divulgation ou le traitement de données à la suite de la livraison des Produits au Client.

8. PRIX – CONDITIONS DE REGLEMENT

Les Produits sont fournis au tarif figurant sur la commande, ou, en l’absence de prix, au prix figurant sur la liste des tarifs de TXO Systems SAS en vigueur à la date de l’acceptation de la commande.

Les prix s’entendent nets et HT, majorés de la TVA au taux en vigueur.

Les prix des Produits n’incluent pas les frais de conditionnement, d’assurance et d’expédition qui seront à la charge du Client et réglés en sus de et en même temps que le prix des Produits.

En cas d’imprévision lors de l’acceptation de la commande, de toute demande de la part du Client visant à modifier les dates de livraison, les quantités et les caractéristiques des Produits, de tout retard ou manquement de la part du Client à fournir des informations ou des instructions suffisantes ou précises, TXO Systems SAS pourra augmenter le prix sous réserve d’en informer le Client avec un préavis de deux jours ouvrables.

TXO Systems SAS émettra une facture à compter de la date de livraison.

Le Client effectuera le règlement conformément aux conditions figurant sur la facture. Le paiement interviendra par virement bancaire au compte désigné par écrit par TXO Systems SAS.

Sans préjudice des autres droits de TXO Systems SAS, et conformément à l’article L.441-10 II du Code de commerce, tout défaut ou retard de paiement emportera application de pénalités de retard équivalentes à trois fois le taux pratiqué par la Banque Centrale Européenne à son opération de refinancement la plus récente, majoré de 10 (dix) points, à compter du jour suivant la date de règlement sur facture. Le taux applicable pendant le premier semestre de l’année concernée est le taux en vigueur au 1 janvier de l’année en question. Pour le second semestre de l’année concernée, il est le taux en vigueur au 1 juillet de l’année en question. Par ailleurs, le Client sera redevable une indemnité forfaitaire de recouvrement de 40 euro fixée par l’article D. 441-5 du Code de Commerce.

Le Client devra régler l’intégralité des sommes dues au titre du Contrat sans déduction ou retenues sauf requises par la législation en vigueur.

Aucune compensation ne pourra être valablement opérée par le Client au titre d’éventuels avoirs, créances ou demandes reconventionnelles à l’encontre de TXO Systems SAS.

TXO Systems SAS pourra, à tout moment, opérer une compensation, sans préjudice d’autres droits ou actions, entre toute somme dont le Client lui serait redevable et toute somme dont TXO Systems SAS serait redevable à l’égard du Client.

9. LIMITATION DE RESPONSABILITE

Sauf dispositions légales impératives contraires, la responsabilité de TXO Systems SAS à l’égard du Client au titre de la vente des Produits, ne saurait excéder, tous dommages confondus, le montant total H.T. du prix du Produit objet de la commande.

En aucun cas TXO Systems SAS ne sera responsable à l’égard du Client de tous dommages indirects tels que notamment préjudice commercial, perte de profit ou de chiffre d’affaires, perte de données.

Le Client déclare reconnaître que les Produits sont usagés et reconditionnés.

10. FORCE MAJEURE

Les Parties ne pourront être tenus pour responsables si la non-exécution ou le retard dans l’exécution de l’une quelconque de leurs obligations, telles que décrites dans les présentes découle d’un cas de force majeure, au sens de l’article 1218 du Code civil.

La Partie constatant l’événement devra dans les plus brefs délais informer l’autre partie de son impossibilité à exécuter son obligation et s’en justifier auprès de celle-ci. La suspension des obligations ne pourra en aucun cas être une cause de responsabilité pour non-exécution de l’obligation en cause, ni induire le versement de dommages et intérêts ou pénalités de retard.

L’exécution de l’obligation est suspendue pendant toute la durée de la force majeure si elle est temporaire et ne dépasse pas une durée de trente (30) jours. Par conséquent, dès la disparition de la cause de la suspension de leurs obligations réciproques, les Parties feront tous leurs efforts pour reprendre le plus rapidement possible l’exécution normale de leurs obligations contractuelles. A cet effet, la Partie empêchée avertira l’autre de la reprise de son obligation par lettre recommandée avec demande d’avis de réception ou tout acte extrajudiciaire. Si l’empêchement est définitif ou dépasse une durée de trente (30) jours, les présentes seront purement et simplement résolues

11. CESSION DU CONTRAT

TXO Systems SAS peut à tout moment céder, transférer, donner en gage, sous-traiter ou disposer librement de l’ensemble de ses droits et obligations au titre du Contrat.

Le Contrat ne pourra être cédé ou transféré de quelque manière, à quelque titre et à quelque personne que ce soit par le Client sans l’accord exprès, préalable et écrit, de TXO Systems SAS.

12. NOTIFICATIONS

Toutes les notifications ou autres communications dans le cadre du Contrat doivent être faites par écrit et remises en mains propres ou envoyées par fax, par lettre recommandée avec accusé de réception, par courrier express ou par un service de messagerie renommé et seront réputées avoir été délivrées au moment de leur remise en mains propres ou envoi par fax ou, si elles sont envoyées par courrier, trois jours après l’envoi (un jour ouvré en cas d’envoi en express ou par un service de messagerie), au siège social ou à toute autre adresse qui sera spécifiée par la partie destinataire.

13. NULLITE PARTIELLE

La nullité éventuelle de l’une des clauses des du Contrat et des Conditions n’affectera pas leur validité. Si l’une disposition du Contrat ou l’application de cette disposition à une quelconque personne ou circonstance est jugée nulle, illégale ou inopposable par les tribunaux compétents, ladite nullité, illégalité ou inopposabilité ne saurait affecter les autres dispositions du Contrat.

14. NON RENONCIATION

Aucune renonciation ne liera les parties sauf si elle est faite par écrit et signée par un représentant dûment habilité de chaque partie, et aucun manquement ou retard pour mettre en application tout droit ne sera considéré comme une renonciation.

15. CONVENTIONS DEROGATOIRES OU COMPLEMENTAIRES

Toutes conventions dérogatoires ou complémentaires au Contrat devront être conclues par écrit.

16. DROIT APPLICABLE – LITIGES

Les Conditions sont régies par le droit français.

Tous différends relatifs à la validité, l’interprétation, l’exécution, et la résiliation des Conditions et du Contrat seront soumis au Tribunal de commerce de Pontoise.

17. DONNEES PERSONNELLES

Les Parties s’engagent à respecter les dispositions légales et règlementaires relatives à la protection des données à caractère personnel, et notamment le règlement n°2016/679 du 27 avril 2016 du Parlement européen et du Conseil relatif à la protection des personnes physiques à l’égard du traitement des données à caractère personnel et à la libre circulation de ces données (« RGPD »).
